UK CLIENT AGREEMENT REGARDING USE OF ONE CLICK LTD SERVICES

1. FOREWORD

These Terms and Conditions (“T&Cs” or “Agreement”) constitute and govern the contractual relationship between the Parties, One Click Limited (hereinafter referred to as “Casinoland”); and You, as the user, hereinafter referred to as “Client”, “You”, “User” or “Player”.

2. DEFINITIONS

The following words and terms, should be interpreted as follows, unless, the context clearly implies otherwise.

“Registration Form” shall mean the form to be filled in by the Player to open a User Account.

“Game” refers to any gaming activity presented by Casinoland on its Internet Site for the benefit of the Users and as approved by the Regulatory Authority.

“Internet Site”, “Website” or “Site” shall mean the Internet Site Casinoland.com and all other sites connected to it and accessible through links and approved by the UK Gambling Commission from time to time.

“Login and Password” shall mean the login and password details that are chosen by a player upon registering on Casinoland.com site and all other connected sites.

This Agreement is effective upon acceptance in registration for newly registering Clients by checking in the registration form the boxes “I have read and accept the terms and conditions” and “I am 18 years or older” and clicking the “Create new Account” button in the course of the registration on the Website www.Casinoland.com. You commit to comply with the Terms and Conditions of the Website. If You do not agree to be bound by the terms and conditions of this Agreement, You must not use or access our site after registering, You must inform us in writing immediately.

g. This Agreement shall be governed by and interpreted in accordance with the laws of Malta, excluding that body of law pertaining to conflict of laws and the Gambling Act of 2005, Chapter 19 of the laws of the UK. Any legal action or proceeding arising under this Agreement will be brought exclusively in courts located in Malta, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

h. Casinoland will not be liable in any way to any persons in the event of force majeure, or for the act of any government or legal authority. In the event that any provision in this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effective.

i. Failure of a party to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.

j. Casinoland may assign this Agreement or any rights and/or obligations hereunder without Your consent

k. Casinoland may amend the terms of this Agreement from time to time by posting the amended terms on the site. You are responsible for checking whether the Agreement has been amended. Any amendment shall come into force as of the day it is published on the Site. By continuing to use the Internet Site, the Service or the Software offered by Casinoland, You agree to be bound by the Terms and Conditions of this Agreement as well as by the latest modifications to it. If You do not agree to be bound by the changes made to the terms and conditions of this Agreement, You must not use or access our Services, and inform us in writing immediately. m. In case of modification of these terms and conditions, on logging into his or her Account with Casinoland, a pop-up box will inform the Player that the terms and conditions have been updated. The Player shall be requested to agree with the updated terms and conditions.

n. Casinoland may publish these General Terms and Conditions in a number of languages and shall reflect the same principles. This is done for information purposes and to help players. 4. ONLINE SERVICES AGREEMENT

a. This Agreement is made by and between Casinoland and You. This Agreement applies to the Casinoland site, including its electronic content and or software currently contained on the site that supplies You with the games and Services offered by Casinoland.

b. Casinoland reserves the right to impose certain conditions (beyond those detailed in this Agreement) on the admission of Players to the games (including but not limited to minimum number of completed games, verification of transacted payments), and to extend or change the Services on the Website at any time.

5. AVAILABILITY OF SERVICES

a. The Services are available to and may only be used by individuals who can enter into legally binding contracts under the law applicable to their country of domicile.

b. Services are not available to persons under the age of 18 or otherwise under legal age (“Minors”). If as a client You do not qualify, You may not use our site. Participation in the games for money (as a Money Player) is exclusively reserved for individuals over 18 years of age.

c. Casinoland is entitled to require a Client to provide proof of age, and to refuse a Client’s admission to the Games if it has reasons to believe that the minimum age requirement is not fulfilled.

6. REGISTRATION INFORMATION

a. In order to participate in the Games as a Player, the User must complete the registration form on the Website www.Casinoland.com or other site connected with and accessible through www.Casinoland.com and therewith open a “Player Account”. The User must fill in the registration form provided by Casinoland which shall include the following details:

i. The customer’s identity: You warrant to provide true, accurate, current and complete information regarding identity during the registration process. Any false information or impersonation of any person or entity, misrepresentation regarding any affiliation with another person, entity or association, use of false headers or other acts or omissions to conceal one’s identity from Casinoland for any purpose will be prosecuted under the fullest extent of the law. A Client accessing Casinoland Services may be asked to provide valid subsisting verification of identity and relevant information;

ii. The customer’s Date of Birth: You assure Casinoland that You are over 18 years of age. No person under 18 years of age may be registered as a player and any funds deposited will be refunded. Any money won by any such person shall be forfeited.

iii. The customer’s place of residence: You may be asked to prove your place of residence by providing proof of identity such as a copy of your identity card, passport or driving license and/or utility bill;

iv. The customer’s valid e-mail address and contact number (phone/mobile);

v. A personal and confidential username (“Pseudonym”, “Nickname”: The Username must be unique and clearly identifiable. Offensive or indecent names are not allowed. Further prohibited are usernames that contain or allude to an Internet link or account names, which allude to certain rights of the User (for instance, the term “administrator” is reserved for Casinoland). We reserve the right to suspend Accounts with an unacceptable Username. Accounts can be reactivated as soon as a suitable and acceptable alternative has been chosen; and

vi. Password: You are advised to choose a strange and non-predictable password for security and is responsible for ensuring that this password is kept secret. In the event that there is concern that the secrecy of the Username and/or Password is no longer the case, the User should notify Casinoland without delay.

b. During the registration process, a Client must provide Casinoland with valid identification, including but not limited to the address, contact e-mail and/or personal telephone number. In addition, Casinoland is entitled to require the User to provide proof of age and to refuse a User’s admission to the Service if it has reasons to believe that the minimum age requirement is not fulfilled.

c. With the use of an Account on Casinoland Website the User ensures at least the following:

a. The User has completed the registration form truthfully and correctly;

b. The User is not an individual under 18 years of age;

c. The User is neither under legal supervision nor restricted in his business activities;

d. The User has registered personally on his/her behalf and not on the behalf of someone else;

e. The User uses the account for personal use and has no commercial intentions;

f. The User does not use funds gained through criminal or illegal activities;

g. The User has no knowledge about any bet result of the underlying bet before placing it;

h. The User is not classified as a compulsive gambler;

i. The User has no multiple accounts on Casinoland’s Website; and

j. The User has read and accepts these General Terms and Conditions.

d. The User shall ensure that the registration details are kept up-to-date and shall make any necessary changes of name, address, or e-mail address on Casinoland’s Website without undue delay. It is the player’s responsibility to inform Us immediately of any changes to the player’s personal information.

e. In the event that Casinoland has reason to believe that the information given is inaccurate, We are entitled to suspend or terminate the User Account and retain any winnings.

f. When the customer submits his first request for withdrawal, details of his personal bank Account or any other payment method available and acceptable for such withdrawal must be provided to Casinoland.

g. You are responsible for securing Your Username and Password for Your Account with Casinoland. Casinoland holds no responsibility for any damage caused due to any act or omission by You causing inappropriate or irregular use of their Account.

h. You must register personally and not on behalf of someone else.

i. You are not allowed to register if You are already registered on Casinoland’s site with an active Account; Only one Account per person is allowed. Use of more than one Account per physical player is known as “multi-Accounting” and as such is strictly forbidden. Casinoland retains the right to close a User Account at any time and to cancel all the transactions pertaining to any Player that has registered more than one Account in his own name or under different names, in the event that Casinoland has the reason to suspect that the registration of said multiple Accounts has been undertaken with the intent of defrauding or cheating.

j. Casinoland will treat with care the information You entrust to it, in accordance with the disclosures it provides during the registration process and in its Privacy Policy.

k. Casinoland supervises all accounts and data in the strictest confidence. An obligation to disclose may be requested by the relevant authorities, such as the UK Gambling Commission or the Financial Conduct Authority (FCA).

l. It is prohibited for Clients to sell, pledge, transfer and/or acquire Accounts to/from other Clients.

m. You are not allowed to transfer funds from Your Account to other players or to receive money from other players into Your Account. Funds can only be remitted to the same Account from where they originated at the deposit stage.

n. You declare not to deposit money using a card, bank Accounts and any other payment Accounts and solutions to which he/she is not authorised.

o. Making deposits into an Account for any reason other than participating in games, particular illegal purposes (e.g. money laundering) is not allowed; Depositing money originating from criminal and/or other unauthorised activities is also prohibited.

p. You declare that You are not currently or have never been diagnosed as a compulsive gambler.

s. An account will be obligatorily verified when:

i. a Player registers with Casinoland

ii. In the case of a UK customer, unless the licensee has established that a third party has satisfactorily carried out age, identity and address verification.

t. Obligatory verification shall include the following:

a. Verifying additional information about the customer, such as carrying out searches of credit reference and other databases that list names and addresses of individuals over the age of 18;

b. Carrying out secondary age verification checks in any circumstances which give Casinoland reason to suspect that the person may be underage;

c. Not permitting the customer to deposit or gamble until age, identity and address verification has been satisfactorily completed; and

d. If your age, identity and address is not successfully verified on registration, your account will be frozen, and no gambling will be permitted until your age has successfully been verified

i. The account will be frozen;

ii. No further gambling will be permitted until age verification has been successfully completed;

iii. If on completion of age, identity and address verification, the customer is shown to be underage, Casinoland will return to the customer any money paid in respect of the use of the Services, but no winnings shall be paid.

There is no general right of registration and participation in the games.

7. PASSWORD SECURITY

e. You are advised to choose a strong and non-predictable password for security, and You are solely responsible for ensuring that this password is kept secret.

f. It is the Player’s responsibility to ensure they keep their Username and security details (including password) confidential and games played on the Website under Player’s Username and security details will be regarded as valid, irrespective of who participates in the game. In the event that there is concern that the secrecy of such details is no longer the case, the Player should notify Casinoland immediately whereupon new details may be forwarded and any future transactions under the previous details would be considered void.

g. Casinoland is in no way responsible for the eventual access to a User Account by a third person and will not be held responsible for any eventual loss suffered due to the illicit use of a Player’s password by a third person, of unauthorized access, and/or for any transaction in which the name and password of a Player was registered correctly.

8. LEGAL RESTRICTIONS

a. You warrant to understand that laws regarding online gambling vary in different jurisdictions, and it is Your obligation alone to ensure compliance with any law, regulation or directive, relevant to Your country of domicile. Ability to access the Casinoland site does not necessarily mean that Casinoland Services, and/or Your activities through it, are legal under the laws, regulations or directives relevant to Your country of domicile.

b. You understand and accept that Casinoland is unable to provide You with any legal advice or assurances and that it is Your sole responsibility to ensure that at all times You comply with the laws that govern You and that You have the complete legal right to play the Games. Any participation in the Games is at Your sole option, discretion and risk. By playing the Games, You acknowledge that You do not find the Games or Services to be offensive, objectionable, unfair, or indecent in any way.

c. You guarantee at all times not to be a resident of the excluded countries including but not limited to: United States, France, Spain, Italy, Denmark, Estonia, Belgium, Mexico, Portugal, Poland, Bulgaria, Romania, Albania, Sweden and/or restricted by limited legal capacity.

d. Casinoland does not intend that its site should be used for betting or any other purposes by Clients present in countries in which such activities are illegal. Casinoland’s site does not constitute an offer, solicitation or invitation by One Click for the use of the games or other services in any jurisdiction in which such activities are prohibited by law.

e. You shall not treat Casinoland as a financial institution nor expect interest on Your deposits.

9. LIMITED USE

a. Casinoland grants You a non-exclusive, non-transferable and limited personal use to access the site (the “License”). Use of the site is conditioned on the Client’s continued compliance with the terms and conditions of this Agreement.

b. You agree not to resell marketing materials provided to You by Casinoland or permit secured access of the site to others, and not to copy any materials appearing on the site for resale or for any other purpose to others without the prior written consent of Casinoland.

c. You shall be responsible for and bound by any unauthorized use of the site, made in breach of this section.

h. You agree to use the information received from the information systems of Casinoland for the sole purpose of executing transactions inside and within the site.

i. You further agree not to use any electronic communication feature of a Service on the site for any purpose that is unlawful, tortuous, abusive, and intrusive on another’s privacy, harassing, libellous, defamatory, embarrassing, obscene, threatening or hateful.

f. The License granted under this Agreement will terminate if Casinoland believes that any information provided by You, including Your e-mail address, is no longer current or accurate, or if You fail to otherwise comply with any term or condition of this Agreement and all rules and guidelines for each Service, or Casinoland establishes that You have abused in any way Casinoland’s games and services.

Upon notification of such violation, You agree to cease accessing Services. You agree that Casinoland, at its sole discretion and with or without notice, may terminate You access to any or all Services, close Client open transactions, remove and discard any information or content with its Service.

10. MISCONDUCT

a. Misconduct by Clients is forbidden on the Website. Client’s behaviour is deemed as a violation of these Terms and Conditions, whenever, but not exclusively, if You:

i. intentionally provides inaccurate or incomplete information;

ii. attempts to manipulate the result of games through concerted practices, alterations of the program or in any other undue way;

iii. deliberately cause malfunctions or defects of the Website in order to undermine the natural flow of the game;

iv. sets up more than one Account per person; and/or

v. Breaches any other regulations set out in these Terms and Conditions.

For the avoidance of doubt, the above is not an exhaustive list.

b. You will not decompile or attempt to decompile the software on Casinoland’s Website or develop software that interferes with the Client-Server-Communication software used on its Website.

c. The use of any software program which facilitates artificial intelligence is strictly prohibited. Prohibited software may include software which Casinoland believes allows player to cheat or gives one player an unjust advantage while wagering on the Website. Casinoland reserves the right to take action in order to detect and prevent the use of such software by Players. Should Casinoland identify or suspect for good reason the use of prohibited programs, Casinoland reserves the right to freeze the relevant Player’s Account for a period of at least six (6) months, to confiscate any funds in that Account and/or to suspend the Player from using the services of Casinoland.

d. In the event of misconduct by a Client, Casinoland is entitled to immediately terminate the Agreement with You and exclude him from further use of the Website. Further, Casinoland is entitled to interrupt and terminate on-going games, to block You or Your Account with or without prior notice and to retain the User’s credit and winnings achieved through misconduct until clarification of the situation.

11. ACCOUNT CANCELLATION

a. Casinoland reserves the right in its sole discretion to refuse, cancel the Services, and/or refuse to distribute profits to anyone for any legitimate reason including, but not limited to:

b. any instance when Casinoland has cause to believe that a person’s activities on the site may be illegal;

c. any instance where Casinoland may suffer any fiscal, regulatory, or pecuniary disadvantage by virtue of anyone’s activities;

d. any instance where one or more transactions on the site are judged by Casinoland to have been performed in violation of this Agreement.

e. Casinoland prohibits player collusion and takes measures to prohibit use of devices, such as robots, that distort normal game play;

f. Casinoland reserves the right to terminate events or games without prior notice, whenever it deems necessary and / or due to errors in the software or games, which cause games to work incorrectly or malfunction.

12. ABORTED OR MISCARRIED GAMES

a. In the event that any information is incorrectly published on the Website, Casinoland will take remedial action in order to rectify and amend the data in the system so as to reflect the correct information. Any winnings that are affected by the publishing of incorrect information will also be accordingly amended.

b. Casinoland, Our suppliers and / or licensors accept no liability for any damages or losses which are deemed or alleged to have arisen out of or in connection with the Website or its content, including and without limitation to:

a. Delays or interruptions in operation or transmission;

b. Loss or corruption of data;

c. Communication or lines failure;

d. Any site or content misuse;

e. Any errors or omissions in content;

c. In the event of a miscarried game for any reason whatsoever, all players’ transactions are always accurately logged on our systems, therefore We will always have access to what actually happened during the gameplay. d. We reserve the right to correct or declare results void with hindsight, if the result of the game was caused by a technical default, fraudulent behaviour of a Player or through a fake wager. We reserve the right to recall any payment that is made in error.

Payments Terms

13. CASH GAMING MODE (“Games for money”)

a. Every eligible Client after opening an Account and successful depositing money to Player’s Account, can play Games for cash.

14. WITHDRAWALS

a. A request for withdrawal cannot be made while the User is involved in a gaming session.

b. Casinoland’s finance department handles all withdrawal requests submitted. Casinoland reserves the right to verify the entitlement of the User and, in case of doubt, to retain the withdrawal. Valid documents issued by government and Identity documents must be submitted in order to process a first withdrawal. However, Casinoland reserves the right to verify the User’s identity, age and location at any time before processing any amount of requested withdrawal. c. Any expense related to withdrawal requests, if applicable and explicitly announced on the Website, shall be charged to the receiver.

Withdrawals of winnings or parts thereof will be paid out upon request of the player. Please note that all withdrawals are free of charge. The minimum withdrawal amount per transaction is no less than £10 (or equivalent in another currency) with the exception of an Account closure in which case the player has the right to withdraw the full balance no matter how much it is. The maximum withdrawal amount per transaction is £5000 effected by any of payment methods available on the Website.

d. The personal data of the User of the cash gaming Account and the holder of the bank Account (or any other payment method) must correspond. Casinoland reserves the right to request further documentation for the proof of identity and verification of the bank Account (or any other payment method) and retain winnings until such proof has been provided.

e. Withdrawals from a User Account can only be addressed strictly to the person registered on the Account and as per the conditions specified on the Casinoland site

f. Withdrawals can only be paid out to the Account and payment method from where the player’s deposit originated. We understand that at times this is not always possible for technical and/or policy reasons which are beyond our control. In these cases only We will affect the withdrawal to alternate Accounts in the name of player, once ownership of such an alternate Account has been confirmed and verified.

g. Therefore, if You have previously deposited funds in Your Account using a debit card, You will only be able to withdraw funds using such debit card until 30th June 2020. After this time, You will be able to withdraw funds to any other registered payment method in the name of the Account holder’s name.

h. Some debit cards – including international MasterCard and Visa cards issued in a restricted country (as well as certain UK debit cards) – do not allow us to pay funds back to Your debit card. Should You have used one of these debit cards we can arrange for Your funds to be paid back to Your bank account (please be aware that documentary evidence may be required such as identity documentation, bank statements and payment method details).

i. Once a withdrawal request is submitted it can take Casinoland up to 3 business days to process the request. However, Casinoland will be doing its best to process withdrawal requests immediately.

j. Funds cannot be withdrawn from one’s Account unless the same funds have been wagered at least once. Under no circumstances can the withdrawal be processed with no turnover unless previously agreed with Security Department.

15. DEPOSITS

a. In order to fund a player Account (by transfer of money to Casinoland’s Account) one can do so by utilising the deposit methods and their relative information, which are included in the Deposit section on the Website.

b. From 14th April 2020 You will no longer be able to make deposits using a credit card by any means including by way of any credit card registered with an online payment service.

You can make deposits into Your account by debit card (Visa Debit, Maestro or Visa Electron) or using an online payment service.

d. Casinoland does not guarantee that all methods of payment are available at all times.

f. Casinoland reserve the right to request further information and documentation regarding Your age, identity and place of residence following any deposits or prior to any withdrawals, in particular prior to Your first withdrawal, in order to prove Your identity before we release funds to You. We also reserve the right to request such information and documentation about any person who affects a deposit on Your Account. Such information and documentation (as Driving Licence, Government ID, Bank Statement) will enable us to check that the personal data given during Your registration corresponds to what appears on the document. l. Self-deposit limits may be imposed by the User through the use of the Website.

m. Payments will only be effected in the GBP currency.

1. Definitions

3.2 This license applies only to the object code of the Software (i.e., the compiled, assembled, or machine executable version of the Software) and does not grant you any rights whatsoever with respect to the source code of the Software.

3.3 Notwithstanding anything to the contrary herein, persons located in the Prohibited Jurisdictions are not permitted to use the Software in any way or manner in connection with any real-money play. To remove any doubt, this restriction also applies to residents and citizens of other nations while located in a Prohibited Jurisdiction. IT IS YOUR DUTY TO CONSULT AND CHECK REGULARLY OUR WEBSITE REGARDING THE LIST OF THE PROHIBITED JURISDICTIONS

3.4 We reserve any and all rights not expressly granted in Section 3.1 above. In addition, You are not permitted to, and You agree not to permit or assist others to:

3.4.1 use, copy, modify, create derivative works from or distribute the Software, any part of it, or any copy, adaptation, transcription, or merged portion of it;

3.4.2 decode, reverse engineer, disassemble, decompile or otherwise translate or convert the Software or any part of it;

3.4.3 transfer, loan, lease, assign, rent, or otherwise sublicense the Software;

3.4.4 remove any copyright, proprietary or similar notices from the Software (or any copies of it);

3.4.5 operate the Software or any part of it for the benefit of or on behalf of any third party, including by way of ‘bulletin board’, online service or remote dial-in, application service provider services, internet service provider services, timesharing arrangements, outsourcing services or bureau services;

3.4.6 copy or translate any user documentation provided online or in electronic format;

3.4.7 enter, access or attempt to enter or access or otherwise bypass Our security system or interfere in any way (including but not limited to, robots and similar devices) with the Website or attempt to make any changes to the Software and/or any features or components thereof; or

3.4.8 use any Assistance Programs in connection with the Software and/or the Online Games. You are prohibited from any interaction within the Online Games that is not the direct result of You personally utilizing the Software for the purpose for which it was intended.

3.5 You acknowledge and agree that We may take steps to detect and prevent the use of Assistance Programs. These steps may include, but are not limited to, examination of software programs running concurrently with the Software on Your device. You agree that you will not attempt to bypass, interfere with, or block such steps, including, without limitation, the use of third party software that bypasses, interferes with, or blocks such steps. Any attempt to restrict Us in this matter will entitle Us to immediately suspend the availability of the Software to You and You shall immediately forfeit any winnings.

3.6 You acknowledge and agree that all IP Rights, title and interest in and to the Software, including in and to any modification, enhancement, adaptation, translation or other change of or addition to the Software, belong exclusively to the Vendor, even if developed based on ideas, suggestions or proposals by You or any other third party. By accepting this agreement, You irrevocably assign to the Vendor all right, title, and interest You may have or may acquire in and to all such rights, including, without limitation, patent, copyright, trademark, trade secret or know how, and You agree to sign and deliver to the Vendor such documents as Vendor considers desirable to evidence or effect the assignment of all of the aforesaid rights to the Vendor. You agree not to, directly or indirectly, attempt to invalidate for any reason whatsoever, or assert, or assist the assertion by others, that the rights, title or interest in the Software belong to any third party other than the Vendor, or that they infringe the IP Rights of others.

4. Your Duty to Examine Legality of Use

You confirm that You are older than 18 years, and in any event of legal age as determined by the laws of the country where you are located. You also confirm that You are aware of the legal issues relating to the operation of online gambling sites, and that You understand that We and the Vendor are not warranting in any way or manner that the use of the Software for the purposes of gambling, as such term is commonly understood in the industry, is legal in any jurisdiction. Given the changes in the legal status of online gambling in various jurisdictions, You undertake to examine the legality of Your participation in the Online Games and use of the Software in each jurisdiction that is applicable to You and to do the same only in compliance with all applicable laws and orders of any competent authority.

WE AND THE VENDOR, AND ALL OF THEIR AFFILIATES AND RELATED PARTIES, HEREBY EXCLUDE AND DISCLAIM ANY AND ALL IMPLIED TERMS, CONDITIONS AND WARRANTIES (INCLUDING ANY WARRNATY OF MERCHANTABILITY, SATISFACTORY QUALITY AND FITNESS FOR ANY PARTICULAR PURPOSE), AND, WITHOUT LIMITING THE GENERALITY OF THE AFORESAID, WE AND THE VENDOR DO NOT WARRANT, AMONG OTHER THINGS, THAT

(A) THE SOFTWARE WILL BE NON-INFRINGING,

(B) THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY DEFECTS IN THE SOFTWARE WILL BE CORRECTED, OR THAT THE SOFTWARE IS VIRUS-FREE;

(C) THE SOFTWARE IS OF SATISFACTORY QUALITY OR FIT FOR ANY PARTICULAR PURPOSE; OR

(D) USE BY YOU OF THE SOFTWARE WITH ANY OTHER SOFTWARE, OR WITH INAPPROPRIATE HARDWARE, WILL NOT CAUSE ANY DISTURBANCE TO THE SOFTWARE OR TO SUCH OTHER SOFTWARE.

IN THE EVENT OF COMMUNICATIONS OR SYSTEM ERRORS OCCURING IN CONNECTION WITH THE SOFTWARE, NEITHER WE NOR THE VENDOR NOR THEIR AFFILIATES AND RELATED PARTIES WILL BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY COSTS, EXPENSES, LOSSES OR CLAIMS ARISING OR RESULTING FROM SUCH ERRORS.

NEITHER WE NOR THE VENDOR NOR OUR AFFILIATES AND RELATED PARTIES WILL BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR PAYMENTS MADE (OR NOT MADE) TO YOU AS A RESULT OF A DEFECT OR ERROR IN THE SOFTWARE, OR IN CONNECTION WITH ANY CLAIM OR DEMAND MADE BY THE VENDOR OR ANY THIRD PARTY FOR THE RETURN OF SUCH PAYMENTS OR OTHERWISE IN CONNECTION WITH SUCH PAYMENTS.

You hereby acknowledge that it is not in Our control how the Software is used by You. You load and use the Software at Your own risk and in no event shall We be liable to you for any direct, consequential, incidental or special damage or loss of any kind (except personal injury or death resulting from Our negligence).

6. Confidentiality

The Software includes non-public and confidential information, which is secret and valuable to Us or the Vendor. You agree, as long as You use the Software and thereafter, to

(a) keep all such confidential information strictly confidential;

(b) not to disclose such confidential information to a third party, and not to use such confidential information for any purpose other than participating in the Online Games.

You further agree to take all reasonable steps at all times to protect and keep confidential such confidential information.

7. Your Warranties and Representations

You warrant and represent to Us that:

7.1 You are not a resident of any of the Prohibited Jurisdictions; and

7.2 You have examined the legality of Your participation in the Online Games and use of the Software in each jurisdiction that is applicable to You, and have found the same to be legal in such jurisdictions under all applicable laws and orders of any competent authority.

8. Changes to this Agreement

8.1 We may make changes to this Agreement at any time, at our sole discretion. Such changes will take effect from the date specified by us on the Website, whether or not We have notified You specifically of such changes. It is important, therefore, that You log in to the Website from time to time to check to see whether there is a notification of change.

8.2 You agree to be solely responsible for becoming informed of such changes. If You continue to use the Software or the Online Games after the effective date of certain changes (regardless of the way We have notified such changes), You agree to be bound by those changes whether or not You have had actual notice of, or have read, the relevant changes. If You do not agree to be bound by relevant changes, You should not continue to use the Software or the Online Games any further.

9. Term and Termination

9.1 This agreement is effective, and binding upon You, from the moment of Your Acceptance, and shall remain in force unless terminated in accordance with the provisions hereof.

9.2 You may terminate this agreement with immediate effect at any time, subject to the terms of Section 9.4. Termination by You shall be effected by sending Us written notice of the termination of Your participation on the Website and the Online Games and closure of Your account with Us.

9.3 We may terminate this agreement with immediate effect at any time, by written notice to You.

9.4 Upon any termination of this agreement, whether by Us or by You, You agree and acknowledge that

(i) Your rights to use the Software shall immediately terminate, and

(ii) You will cease any and all use of the Software, and

(iii) You will remove the Software from your computer, hard drives, networks and other storage material.

10. No Claims Against Vendor; Limitation of Liability

10.1 You understand and agree that We will be solely responsible to You under this agreement, and while Your commitments under this agreement are also for the benefit of the Vendor, its affiliates and related parties (and can therefore be enforced by them too), Vendor, its affiliates and related parties are not parties to this agreement and will not be liable for any damages of any kind whatsoever caused to You or any third party, regardless of the form of action, whether in contract, tort (including negligence), strict liability or otherwise.

10.2 You are free to choose whether to download (where available) and use the Software. If You do so, You acknowledge that You do it with the full understanding of this agreement, including the provisions of this Section 10, and at Your own risk. IN NO EVENT SHALL WE (AND FOR THE AVOIDANCE OF DOUBT, ALSO VENDOR) OR ANY OF THEIR AFFILIATES AND RELATED PARTIES, IN AGGREGATE:

10.2.1 BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL OR SPECIAL DAMAGE OR LOSS OF ANY KIND WHATSOEVER; OR LOSS OF BUSINESS, PROFITS, REVENUE, CONTRACTS OR ANTICIPATED SAVINGS; OR LOSS OR DAMAGE ARISING FROM LOSS, DAMAGE OR CORRUPTION OF ANY DATA; or

10.2.2 BE LIABLE TO YOU WITH RESPECT TO ANY AND ALL CLAIMS AT ANY AND ALL TIMES ARISING FROM OR RELATING TO THIS AGREEMENT, HOWSOEVER ARISING UNDER CONTRACT OR ANY THEORY OF LAW, FOR DAMAGES EXCEEDING THE LOWER OF

(A) THE AMOUNT DEPOSITED BY YOU WITH US AND USED BY YOU FOR GAMBLING PURPOSES, OR

(B) €1,000 (ONE THOUSAND EUROS).

11. Privacy

11.1 We will only use Your personal information in accordance with our privacy policy, which is set out in full in our Privacy Policy. We reserve the right to amend the Privacy Policy at any time. However, We reserve the right to ask You to provide Us with additional details and any such additional information will be kept confidential. We further reserve the right under certain circumstances to disclose certain details to relevant authorities should it be required to do so by law, an arm of the state or a regulatory body. Subject to the provisions of the Privacy Policy, this right to disclose personal information to bodies or authorities whose purpose is to investigate money laundering, fraud and other criminal activity will be to the extent required by law.

12. Your Responsibilities

You shall not transfer in any way whatsoever Your rights under this agreement without our prior written consent.

13. Your Warranties and Representations

You warrant and represent that:

13.1 You are over the age of eighteen.

14. Reservation of Rights

14.1 We reserve, at Our sole discretion, the right to:

14.2 change, suspend, remove, modify or add any game or tournament on the Online Games.

14.3 We may at any time disclose certain personal information of Yours to third parties in accordance with Our Privacy Policy, which is set out in full at Privacy Policy.

15. General Provisions

15.1 Governing Law. The construction, validity and performance of this agreement will be governed by the laws of England.

15.6 Priority. This agreement shall prevail in the event of any conflict between the terms and conditions herein and any other agreement or document referred to herein or used in connection with the Software.

15.7 Notices. You agree to receive communications from Us in an electronic form. Electronic communications may be posted on the pages within the Website or the messages/help files of Your client application, or delivered to Your e-mail address. All communications in either electronic or paper format will be considered to be in ‘writing’ and to have been received no later than five business days after posting or dissemination, whether or not You have received or retrieved such communication. UK CLIENT AGREEMENT REGARDING USE OF CASINOLAND.COM BONUSES

1) General bonus terms and conditions

1) All bonuses are limited to one per person, one per household, one per computer or one per IP unless otherwise specified. We reserve the right to close any accounts and void any bets, bonus and winnings if the account was created or used through the use of IP or geolocation masking technologies (including but not limited to VPN, Proxy Servers etc).

2) We reserve the right, acting reasonably, to withdraw the availability of promotions to any customer at any time.

3) Real Money Deposits (cash balance) used to claim the promotional bonuses outlined below are not tied to the bonus terms and conditions. Your cash balance and associated winnings (from the cash balance) can be withdrawn at any stage. If you wish to withdraw your cash balance you will be required to forfeit your bonus balance.

4) If not stated otherwise each offer is valid only during the date it was originally sent.

5) All casino bonuses need to be wagered at least 40x unless otherwise stated. For example, if you received a bonus of £50, you will need to make bets of £2000 to complete the wagering requirements. Some games do not contribute 100% towards wagering requirements as stated in term 6.

Irregular or abusive play with bonus funds includes, but is not limited to:

b) Any breach of bonus terms and conditions.

9) The maximum withdrawal amount for ALL promotional offers and bonuses, unless otherwise stated is £2,000, subject to completing wagering requirements. Bonus balances in excess of £2000 will be removed upon completion of wagering requirements.

10) Players can request a withdrawal of their deposited amount prior to meeting the wagering conditions. However, the bonus balance will be forfeited.

11) All deposit and free cash bonuses will expire after 30 days.

12) Bonus funds and bonus winnings will be forfeited upon expiry of the bonus.

13) Bets are deducted from the player’s cash balance. If no cash balance is available, then the bet placed is deducted from the player’s bonus balance.

15) Only one bonus can be claimed at one time. Deposit related bonuses cannot be “stacked”.

16) We reserve the right in our sole discretion to deny you from all future promotions. 2) No deposit bonuses
